ESCROW AGREEMENT THIS ESCROW AGREEMENT (this "Agreement") is made and entered into as of May 28, 2013, by and among: Shuanghui International Holdings Limited, a corporation formed under the laws of the Cayman Islands ("Parent"); Rotary Vortex Limited, a corporation formed under the laws of Hong Kong ("Depositor"); Smithfield Foods, Inc., a Virginia corporation (the "Company"); and Bank of China, New York Branch (the "Escrow Agent"). Capitalized terms used in this Agreement and not otherwise defined shall have the meanings given to them in the Merger Agreement (as defined below). RECITALS WHEREAS, Parent, Sun Merger Sub, Inc., a Virginia corporation and indirect wholly-owned subsidiary of Parent ("Merger Sub"), and the Company and have entered into an Agreement and Plan of Merger, dated as of May 28, 2013 (the "Merger Agreement"), pursuant to which Merger Sub has agreed to merge with and into the Company; and WHEREAS, the Merger Agreement contemplates the execution and delivery of this Agreement and the deposit by Depositor with the Escrow Agent of an aggregate amount of $275,000,000 of cash (the "Escrow Amount," and together with any interest from time to time earned thereon, and reduced by any subsequent disbursements, amounts withdrawn or losses on investments, the "Escrow Fund") to secure the obligation of Parent to pay the Parent Termination Fee pursuant to Section 8.03 of the Merger Agreement. NOW, THEREFORE, in consideration of the respective covenants, agreements and representations and warranties set forth herein, the parties to this Agreement, intending to be legally bound, agree as follows: 1. Establishment of Escrow Fund. (a) Deposit of Escrow Amount. Simultaneously with the execution hereof, in accordance with the Merger Agreement, Depositor shall deposit cash in an amount equal to the Escrow Amount ($275,000,000) in immediately available funds with the Escrow Agent. The Escrow Agent hereby acknowledges the receipt of the Escrow Amount. The Escrow Fund shall be held as security for the obligation of Parent to pay the Parent Termination Fee pursuant to Section 8.03 of the Merger Agreement. (b) Appointment of Escrow Agent. Parent and the Company hereby appoint and designate the Escrow Agent as escrow agent to receive, hold, invest and disburse the Escrow Fund in accordance with the terms of this Agreement. Escrow Agent hereby agrees to act as escrow agent and to hold, safeguard and disburse the Escrow Fund pursuant to the terms and conditions hereof. (c) Transferability. The interests of the parties in the Escrow Fund shall not be assignable or transferable, other than by operation of law (in which case, the portion of the Escrow Fund so assigned or transferred shall continue to be bound by the terms of this Agreement). No assignment or transfer of any of such interests by operation of law shall be recognized or given effect until Parent, the Company and the Escrow Agent shall have received written notice of such assignment or transfer. (d) Trust Fund. The Escrow Fund shall be free from any lien, attachment, trustee process or any other judicial process of any creditor of any party hereto. The Escrow Agent shall hold and safeguard the Escrow Fund until it is released pursuant to Section 2. Notwithstanding the foregoing, if the Escrow Fund shall be attached, garnished, or levied upon pursuant to judicial process, or the delivery of funds held in the Escrow Fund shall be stayed or enjoined by any court order, or any court order shall be made or entered into affecting the Escrow Fund, or any part thereof, the Escrow Agent is hereby expressly authorized to obey and comply with such judicial process or court order, and shall provide Parent and the Company as much advance written notice as is reasonably practicable thereof. In the event the Escrow Agent obeys or complies with any judicial process or court order following Parent's and the Company's receipt of such advance written notice required by the preceding sentence, it shall not be liable to any party hereto or to any other person, firm or corporation by reason of such compliance, notwithstanding the subsequent reversal, modification, annulment, or setting aside of such court order. (e) Investment of Escrow Fund. The Escrow Agent shall invest and reinvest all cash funds held from time to time as part of the Escrow Fund in the form of demand deposits. (f) The Escrow Agent shall furnish the Company with a monthly written accounting of the complete investment activity of, and transactions executed with respect to, the Escrow Fund, within fifteen (15) days after the end of such month. 2. Administration of Escrow Fund. The Escrow Fund shall be disbursed in cash by the Escrow Agent as follows: (a) Within five (5) business days after receipt by the Escrow Agent of joint written instructions from Parent and the Company, the Escrow Agent shall disburse the Escrow Fund in accordance with such instructions. (b) If the Escrow Agent receives written notice from Parent and the Company that the Merger has been consummated, then within five (5) business days after receipt thereof, the Escrow Agent shall disburse any remaining Escrow Fund to Depositor. (c) If the Escrow Agent receives written notice from Parent that the Merger Agreement has been terminated under circumstances that do not require the payment by Parent to the Company of the Parent Termination Fee pursuant to the provisions of Section 8.03 of the Merger Agreement, then within five (5) business days after receipt thereof, the Escrow Agent shall forward a copy of such notice to the Company. If, within five (5) business days after the receipt by the Company of such notice from the Escrow Agent, the Company has not objected to the disbursement of the Escrow Fund to Parent, then the Escrow Agent shall disburse to Depositor any remaining Escrow Fund. If the Escrow Agent does receive a timely notice from the Company that it is entitled to the Parent Termination Fee and that it objects to the disbursement of any Escrow Fund, then the Escrow Agent shall only make disbursements from the Escrow Fund pursuant to written directions executed by both Parent and the Company or as directed by judgment of a court of competent jurisdiction, which judgment has not been appealed within 30 days. (d) If the Escrow Agent receives written notice from the Company that the Merger Agreement has been terminated under circumstances that require the payment by Parent to the Company of the Parent Termination Fee pursuant to the provisions of Section 8.03 of the Merger Agreement, then within five (5) business days after receipt thereof, the Escrow Agent shall forward a copy of such notice to Parent. If, within five (5) business days after the receipt by Parent of such notice from the Escrow Agent, Parent has not objected to the disbursement of the Parent Termination Fee to the Company, then the Escrow Agent shall disburse to the Company from the Escrow Fund the Escrow Amount and following such disbursement, if applicable, disburse to Depositor any remaining Escrow Fund. If the Escrow Agent does receive a timely notice from Parent that the Company is not entitled to the Parent Termination Fee and that Parent objects to the disbursement to the Company of the Parent Termination Fee from the Escrow Fund, then the Escrow Agent shall only make disbursements from the Escrow Fund pursuant to written directions executed by both Parent and the Company or as directed by judgment of a court of competent jurisdiction, which judgment has not been appealed within 30 days. 3. Covenant of Escrow Agent. The Escrow Agent hereby agrees and covenants with the parties hereto that it will perform all of its obligations under this Agreement and will not deliver custody or possession of any of the Escrow Fund to anyone except pursuant to the express terms of this Agreement. 4. Fees and Expenses of Escrow Agent. The Escrow Agent shall be entitled to receive from time to time fees in accordance with Exhibit A. 5. Limitation of Escrow Agent's Liability. (a) The Escrow Agent undertakes to perform such duties as are specifically set forth in this Agreement only and shall have no liabilities or obligations with respect to the Escrow Fund except for the Escrow Agent's willful misconduct or gross negligence. The Escrow Agent shall have no implied duties or obligations and shall not be charged with knowledge or notice of any fact or circumstance not specifically set forth herein or in any notices given to it in accordance with the notice provisions of this Agreement. The Escrow Agent shall not be required to take notice of the Merger Agreement and shall have no duty or responsibility to take any action pursuant to the terms thereof. The Escrow Agent shall incur no liability with respect to any action taken by it or for any inaction on its part in reliance upon any notice, direction, instruction, consent, statement or other document believed by it in good faith to be genuine and duly authorized, nor for any other action or inaction except for its own negligence or willful misconduct. The Escrow Agent may consult legal counsel selected by it in the event of any dispute or question of the construction of this Agreement or the Merger Agreement or seek the assistance of a court of competent jurisdiction, and shall incur no liability and shall be fully protected in acting in accordance with the opinion or advice of such counsel or the direction of such court. In no event shall the Escrow Agent be liable for incidental, indirect, special, punitive or consequential damages. (b) Parent and the Company hereby agree to indemnify, each in the amount of fifty percent, the Escrow Agent and its officers, directors, employees and agents for, and hold it and them harmless against, any loss, liability or expense incurred without negligence or willful misconduct on the part of Escrow Agent, arising out of or in connection with the Escrow Agent carrying out its duties hereunder. Escrow Agent's right to seek indemnification and reimbursement from the parties hereto in accordance with the provisions hereof shall be its exclusive remedy in connection with any loss, liability or expense incurred by it hereunder and shall survive for one (1) year following (i) the termination of this Agreement or (ii) the earlier resignation or removal of the Escrow Agent. The Escrow Agent shall not be indemnified or held harmless in the event of losses, claims, damages, liabilities or expenses resulting from the Escrow Agent's gross negligence or willful misconduct. 6. Termination. This Agreement will be automatically terminated upon disbursement of the Escrow Funds pursuant toSection 2 and following such termination this Agreement shall be of no further force or effect, and no further fees or expenses shall be invoiced by the Escrow Agent pursuant hereto except for unbilled fees or expenses incurred by the Escrow Agent prior to such time. 7. Successor Escrow Agent. In the event the Escrow Agent becomes unavailable or unwilling to continue as escrow agent under this Agreement, the Escrow Agent may resign and be discharged from its duties and obligations hereunder by giving its written resignation to the parties to this Agreement. In addition, the Escrow Agent may be removed at any time, with or without cause, upon 30 days' prior written notice delivered to the Escrow Agent and executed by both Parent and the Company. Such resignation or removal shall take effect not less than thirty (30) days after notice is given to all parties hereto. In such event, Parent may appoint, with the consent of the Company, which consent shall not be unreasonably withheld, a successor escrow agent, which shall be a commercial bank, trust company or other financial institution with a combined capital and surplus in excess of $1,000,000,000 (unless otherwise agreed by the parties hereto in writing), that will be an unrelated third party with respect to each of Parent and the Company. If Parent fails to appoint a successor escrow agent within fifteen (15) days after receiving the Escrow Agent's written resignation, the Escrow Agent shall have the right to apply to a court of competent jurisdiction for the appointment of a successor escrow agent. The successor escrow agent shall execute and deliver to the Escrow Agent an instrument accepting such appointment, and the successor escrow agent shall, without further acts, be vested with all the estates, property rights, powers and duties of the predecessor Escrow Agent as if originally named as Escrow Agent herein. The Escrow Agent shall act in accordance with written instructions from Parent and the Company as to the transfer of the Escrow Fund to a successor escrow agent. 8. Miscellaneous. (a) Amendment; Waiver. Any agreement on the part of a party to any extension or waiver of any provision hereof shall be valid only if set forth in an instrument in writing signed on behalf of such party. A waiver by a party of the performance of any covenant, agreement, obligation, condition, representation or warranty shall not be construed as a waiver of any other covenant, agreement, obligation, condition, representation or warranty. A waiver by any party of the performance of any act shall not constitute a waiver of the performance of any other act or an identical act required to be performed at a later time. This Agreement may not be amended, modified or supplemented except by written agreement of all of the parties. (b) Notices. Unless the context otherwise requires, references in this Agreement to Sections and Exhibits refer to the Sections and Exhibits to this Agreement. The words "include," "includes" and "including" when used herein shall be deemed in each case to be followed by the words "without limitation." The headings contained in this Agreement are for reference purposes only and shall not affect in any way the meaning or interpretation of this Agreement. All references to dollar amounts contained in this Agreement shall mean United States dollars. References in this Agreement to any gender include references to all genders, and references to the singular include references to the plural and vice versa. Unless the context otherwise requires, the words "hereof," "hereby" and "herein" and words of similar meaning when used in this Agreement refer to this Agreement in its entirety and not to any particular Article, Section or provision of this Agreement. (d) Entire Agreement. This Agreement and the other agreements referred to herein constitute the entire agreement of the parties to this Agreement and supersede all prior agreements and understandings, both written and oral, among or between any of the parties with respect to the subject matter hereof. (e) Parties in Interest. Except as expressly provided herein, none of the provisions of this Agreement is intended to provide any rights or remedies to any Person other than the parties hereto and their respective successors and assigns (if any). (f) Severability. If any provision of this Agreement is held invalid or unenforceable by any court of competent jurisdiction, the other provisions of this Agreement will remain in full force and effect. Any provision of this Agreement held invalid or unenforceable only in part or degree will remain in full force and effect to the extent not held invalid or unenforceable. (g) Governing Law; Jurisdiction and Venue. (i) This Agreement shall be construed in accordance with, and governed in all respects by, the internal laws of the State of Delaware (without giving effect to principles of conflicts of laws). (ii) Each party to this Agreement: (1) irrevocably submits to the exclusive jurisdiction of the Delaware Court of Chancery and any state appellate court therefrom within the State of Delaware (unless the Delaware Court of Chancery shall decline to accept jurisdiction over a particular matter, in which case, in any Delaware state or federal court within the State of Delaware) for the purpose of any legal proceeding directly or indirectly based upon, relating to arising out of this Agreement or any transaction contemplated hereby or the negotiation, execution or performance hereof or thereof and irrevocably agrees that all claims in respect of such action or proceeding shall be brought in, and may be heard and determined, exclusively in such state or federal courts; (2) irrevocably consents to the service of the summons and complaint and any other process in any other action or proceeding relating to the transactions contemplated by this Agreement, on behalf of itself or its property, by personal delivery of copies of such process to such party at the addresses set forth in Section 8(b), provided that nothing in this Section 8(g) shall affect the right of any party to serve legal process in any other manner permitted by law; (3) acknowledges and agrees that any controversy which may arise under this Agreement is likely to involve complicated and difficult issues, and therefore each such party hereby irrevocably and unconditionally waives any right such party may have to a trial by jury in any legal proceeding directly or indirectly based upon, relating to or arising out of this Agreement or any transaction contemplated hereby or the negotiation, execution or performance hereof or thereof; (4) certifies and acknowledges that (a) no representative, agent or attorney of any other party has represented, expressly or otherwise, that such other party would not, in the event of any legal proceeding, seek to enforce the foregoing waiver in Section 8(g)(3), (b) each party understands and has considered the implication of such waiver, (c) each party makes such waiver voluntarily, and (d) each party has been induced to enter into this Agreement by, among other things, the mutual waivers and certifications in this Section 8(g). (h) Rules of Construction. The parties hereto agree that they have been represented by counsel during the negotiation and execution of this Agreement and, therefore, waive the application of any law, regulation, holding or rule of construction providing that ambiguities in an agreement or other document will be construed against the party drafting such agreement or document. (i) Assignment and Successors. No party may assign any of its rights or delegate any of its obligations under this Agreement without the prior written consent of the other parties, except that Parent and Depositor may assign any of their respective rights and delegate any of their respective obligations under this Agreement to any Affiliate of Parent or Depositor, as applicable, upon prior written notice to the Company. Subject to the preceding sentence, this Agreement will apply to, be binding in all respects upon and inure to the benefit of the successors and permitted assigns of the parties. (j) Further Assurances. Each party hereto shall execute and cause to be delivered to each other party hereto such instruments and other documents, and shall take such other actions, as such other party may reasonably request (prior to, at or after the Closing for the purpose of carrying out or evidencing any of the transactions contemplated by this Agreement. Recitals A. C. This agreement sets out the terms upon which such escrow is to be operated. It is hereby agreed as follows: Definitions and interpretation In this agreement, unless otherwise stated or the context otherwise requires, words and expressions shall be given the same meaning and be interpreted in the same manner as in the Transfer of Assets Agreement attached hereto under Annex 2 and the following terms shall have the following respective meanings ascribed to them. Within (_) days as of the execution of this Escrow Agreement by all Parties, the Buyer shall remit the Purchase Price amounting to USD (_) to the Escrow Account in the name of the Escrow Agent. 3 Operation of Escrow 3.1 Interest Interest on the Retention Fund shall accrue at the market rate from time to time applicable to a [90] date deposit of funds of an equivalent amount (or such other period as is stated in duly signed joint instructions of the Sellers and the Buyer) on the amount of such Retention Fund standing to the credit of the Escrow Account from time to time. 3.2 Release of the Purchase Price on Release Date The Purchase Price shall be released by the Escrow Agent to the Sellers upon: a) submission of all original Escrow Release Documents by the Sellers to the Escrow Agent; or b) the written instructions of the Buyer by a written notice confirming the release of the Purchase Price to the Sellers. 3.3 Payment of interest Interest on the Purchase Price standing from time to time to the credit of the Retention Fund shall be payable by the Escrow Agent to the Buyer upon final release of the Purchase Price to the Sellers out of the Escrow Account. 4 Escrow Agent's fees The expenses and fees of the Escrow Agent amounting to (_______) under this Agreement shall be borne by the parties as to one half by the Buyer and as to one half by the Sellers. 5 Liability of the Escrow Agent 5.1 Escrow Agent’s rights in the event of a dispute If a dispute arises between two or more of the parties to this agreement concerning the payment or non-payment of any sum out of the Retention Fund, or as to any other matter arising out of or relating to the Retention Fund or the operation of this agreement, the Escrow Agent shall not be required to determine the matter in dispute and need not make any distribution of the Retention Fund or issue any instructions in respect thereof but may retain the same and shall not be obliged to take any action hereunder until the parties have resolved the dispute or the rights of the parties to the dispute have been judicially determined. 6 Notifications 6.1 Method of service All notices, requests, demands, claims, and other communications hereunder will be in writing. Any notice, request, demand, claim, or other communication hereunder shall be deemed duly given if (and then two business days after) it is sent by (i) registered or certified mail, return receipt requested, postage prepaid; (ii) delivery via an internationally recognized delivery service; or (iii) facsimile with confirmation and addressed to the intended recipient as set forth below: The First Seller: [** [at its addresses set out above in this agreement] The Second Seller [** [at its addresses set out above in this agreement] The Buyer: [** [at its addresses set out above in this agreement] The Escrow Agent [** [at its addresses set out above in this agreement] Any Party may change the address to which notices, requests, demands, claims, and other communications hereunder are to be delivered by giving the other Parties notice in the manner herein set forth. 7 Termination 7.1 If the Sellers do not deliver all Escrow Release Documents on or before 30 June 2008, this Agreement shall terminate without the need to undertake any further legal action or notification and in such case the provisions of Clause 6.3 shall apply. 7.2 If this Agreement is terminated pursuant to Clause (7.1) above, none of the Parties shall have any liability of whatsoever form to the other Parties provided that the Sellers reimburse the Buyer in full for all cost inured by Buyer in connection with the transactions contemplated by this Agreement. 8 Governing Law and Jurisdiction 8.1 Governing law This agreement shall be governed in all respects by the Egyptian Law. 8.2 Jurisdiction All disputes arising out of or in connection with this Agreement shall be finally settled by arbitration in accordance with the Rules of International Chamber of Commerce. The seat and place of arbitration shall be in London and the language of arbitration shall be English. ("البائع الثاني") ، و يشار الى كل من البائع الأول و البائع الثاني ب " البائعون" ، و 3) ...... ش.م.م ، شركة مساهمة مصرية (تحت التأسيس) أسست بموجب القوانين المصرية, ولها سجل تجاري رقم ....... ومقرها الرئيسي كائن ب .............................. ويمثلها في هذا العقد.................................بصفته/بصفتها......................(المشتري) ، و 4) .......................من...................(وكيل الحساب المجمد) تمهيد ‌أ أبرم البائعون والمشتري اليوم اتفاق نقل أصول وافق بموجبه المشتري على الحصول على الأرض والمصنع من البائع الأول وجميع الأصول المادية وغير المادية الأخرى المتعلقة بأصول المحل التجاري الخاص بالبائع الثاني والكائنة في ......المنطقة الصناعية الثالثة، مدينة 6 أكتوبر، الجيزة. (و يشار الى هذا الاتفاق فيما بعد ب "اتفاق نقل الأصول"). ‌ب ينص اتفاق نقل الأصول من ضمن أمور أخرى على أن ثمن الشراء يدفعه المشتري للبائعين في حساب مجمد من أجل ضمان حسن تنفيذ البائعين لالتزامات معينة منصوص عليها في اتفاق نقل الأصول. ‌ج يحدد هذا الاتفاق الشروط التى بموجبها سوف يتم تشغيل الحساب المجمد. و قد اتفق اطراف هذا العقد على ما يلي: 1 التعريفات وتفسير بنود الاتفاق و لغة العقد: في حالة حدوث اي نزاع او تعارض او اختلاف بين اللغتين المستخدمتين في هذا العقد ، فترجح النسخة الانجليزية. في هذا العقد ، ما لم يذكر خلاف ذلك أو ما لم يقتضى السياق غير ذلك ، يكون للكلمات والمصطلحات نفس المعاني وتُفسر بنفس الطريقة كما في اتفاق نقل الأصول المرفق بهذا العقد تحت الملحق رقم 2 ويكون للمصطلحات التالية نفس المعاني الخاصة المنسوبة إليها: تعني عبارة الحساب المجمد: الحساب المصرفي المُنتج للفوائد الذي يحتفظ به وكيل الحساب المجمد ويُستخدم لأغراض الاحتفاظ بالمبلغ المجمد فقط, و هو كما يلي: رقم الحساب: (____________) سويفت كود: (____________) تعنى عبارة مستندات تسييل الحساب المجمد: النسخ الأصلية لجميع المستندات الموضحة بالكامل بالملحق رقم 1 من هذا العقد. تعني كلمة فائدة: جميع فوائد البنك المستحقة على ثمن الشراء التي يدفعها وكيل الحساب المجمد للمشتري بعد تسليم ثمن الشراء للبائعين. تعني عبارة ثمن الشراء: مبلغا من المال يعادل (_____) دولار أمريكي يضعها المشتري في الحساب المجمد وفقا لشروط هذا العقد. تعني عبارة تاريخ تسييل الحساب المجمد: (24) ساعة إعتبارا من تاريخ تقديم البائعين لجميع مستندات تسييل الحساب المجمد إلى وكيل الحساب المجمد المفصلة بالكامل تحت الملحق رقم 1 من هذا العقد. تعني عبارة المبلغ المجمد: المبالغ المالية التى يتم إيداعها من وقت لآخر في الحساب المجمد وفقا لشروط هذا العقد. تعني عبارة اتفاق نقل الأصول الاتفاق بتاريخ (___________) الذي أبرم بين كل من البائعين و المشتري. 2 تعيين وكيل الحساب المجمد يُعين المشتري و البائعون معا وكيلا للحساب المجمد لأداء المهام المنصوص عليه في هذا العقد و يقبل وكيل الحساب المجمد هذا التعيين. خلال _______ يوم من إبرام عقد الحساب المجمد من جانب كافة الأطراف ، يجب على المشتري أن يرسل ثمن الشراء الذي يبلغ (______) دولار أمريكي إلى الحساب المجمد باسم وكيل الحساب المجمد. 3 تشغيل الحساب المجمد 3.1 الفائدة تحتسب الفائدة، عند استحقاقها، علي أساس سعر السوق السائد وقت تطبيق الفائدة علي وديعة لمدة [90]يوما (أو أى مدة أخرى قد ينص عليها في تعليمات لاحقة موقعة من البائعين و المشتري) و ذلك على المبلغ المحتجز الذي يُدفع في اعتماد الحساب المجمد من وقت إلى آخر. 3.2 تسليم ثمن الشراء في تاريخ تسييل الحساب المجمد يسلم وكيل الحساب المجمد ثمن الشراء للبائعين عند: ‌أ) تقديم البائعون لجميع مستندات تسييل الحساب المجمد الأصلية لوكيل الحساب المجمد؛ ‌ب) وجود تعلميات كتابية من المشتري في إخطار كتابي يؤيد تسليم ثمن الشراء للبائعين. 3.3 دفع الفائدة تكون الفائدة على ثمن الشراء التى تدفع من حين إلى آخر في اعتماد المبلغ المجمد مستحقة الدفع من جانب وكيل الحساب المجمد إلى المشتري عند تسليم ثمن الشراء إلى البائعين من الحساب المجمد. 4 أتعاب وكيل الحساب المجمد يتحمل أطراف هذا العقد مصروفات و أتعاب وكيل الحساب المجمد التي تبلغ (____) بموجب هذا العقد بحيث يتحمل المشتري نصف هذه الاتعاب و يتحمل البائعون النصف الآخر. 5 المسئولية القانونية لوكيل الحساب المجمد إذا نشأ نزاع بين طرفين أو أكثر من أطراف هذا الاتفاق فيما يتعلق بدفع أو عدم دفع أى مبلغ من المبلغ المجمد, أو في أية مسألة أخرى تنشأ عن المبلغ المجمد أو تتصل به أو في تنفيذ هذا العقد ، لا تجوز مطالبة وكيل الحساب المجمد الفصل في ذلك النزاع و لا يلزم بتوزيع المبلغ المجمد أو إصدار أية تعليمات بشأن ذلك المبلغ لكن يجوز له أن يحتفظ بالأموال المحتجزة و لا يجُبر على اتخاذ أى إجراء وفقا لأحكام هذا العقد حتى يحسم الأطراف هذا النزاع أو تتحدد حقوق أطراف النزاع من خلال اجراءات التحكيم وفقا لما هو منصوص عليه في هذا العقد و عقد شراء الأصول. 6 الإخطارات يجب ان تكون جميع الإخطارات والطلبات والمطالب والمطالبات ووسائل الاتصال الأخرى بموجب هذا العقد في صيغة مكتوبة. و يُعتبر أى إخطار أو طلب أو مطلب أو مطالبة مُقدم بصورة صحيحة - بعد مرور يومان من أيام العمل الرسمية على ارساله – اذا أُرسل (أ) بالبريد المسجل أو المصحوب بعلم الوصول (ب) مُرسل بخدمة إيصال معترف بها دوليا أو (ج) مُرسل بالفاكس مع التصديق و مُوجه إلى المُستلم المعني على النحو المبين أدناه: البائع الأول: ....................................[على العناوين الخاصة بهم المبينة أعلاه في هذا العقد] البائع الثاني: ....................................[على العناوين الخاصة بهم المبينة أعلاه في هذا العقد] المشتري: ....................................[على العناوين الخاصة بهم المبينة أعلاه في هذا العقد] وكيل الحساب المجمد: ....................................[على العناوين الخاصة بهم المبينة أعلاه في هذا العقد] يجوز لأى طرف من الأطراف تغيير العنوان الذي يُرسل إليه عن طريقه الإخطارات و الطلبات و المطالب و المطالبات وفقا لهذا الاتفاق بتقديم إخطار للأطراف الأخرى وفقا لأحكام هذه المادة. 7 إنهاء العقد 7.2 إذا لم يُسلم البائعون جميع وثائق الإفراج عن الحساب المجمد في موعد أقصاه 30 يونيو 2008, ينتهي هذا العقد دون الحاجة إلى القيام بأى إجراء قانوني آخر أو إخطار. 7.2 إذا تم إنهاء هذا العقد وفقا للفقرة (7.1) أعلاه, لا يكون أى طرف من أطراف هذا العقد مسئولا بأى شكل من أشكال المسئولية قبل الأطراف الآخرين شريطة أن يرد البائعون للمشتري بالكامل جميع التكاليف التى تكبدها المشتري المتعلقة بالصفقات التي كان من المزمع عقدها بموجب هذا العقد. 8 القانون الواجب التطبيق و الاختصاص بفض المناعات 8.1 القانون الواجب التطبيق يخضع هذا العقد في جميع جوانبه لأحكام القانون المصري. 8.1 الاختصاص بفض المنازعات يجب أن تحال جميع المنازعات الناشئة عن هذا العقد أو المتصلة به الى التحكيم الذي يجرى وفقا لقواعد مركز القاهرة الاقليمي للتحكيم التجاري الدولي. و يكون مكان التحكيم في القاهرة و لغة التحكيم هى اللغة الإنجليزية. ويكون عدد المحكمين ثلاثة يتم تعيينهم وفقا للقواعد المذكورة. اشهاداً منا بذلك أَبرم هذا العقد في التاريخ المكتوب أعلاه بالصفحة الاولى. عقد إيجار شقة Appartment Rental Agreement عقد إيجار شقة وفقاً لأحكام القانون رقم4 لسنة 1996 أنه في يوم الموافق / / 200 تحرر هذا العقد بين كل من : أولاً :السيد/ ____________________ جنسيته _______ويمثلها فى هذا العقد السيد/ طارق بصفته وكيلاً عن المؤجر بالتوكيل ومقيم ____________________________ (طرف أول مؤجر بصفته) ثانياً :السيد/ _______________________ الجنسية _____ويحمل جواز سفر ______ ومقيم في _____________________ (طرف ثاني مستأجر) تمهيد يمتلك الطرف الأول (المؤجر) الوحدة السكنية الكائنة رقم بخليج نعمة بمدينة شرم الشيخ محافظة جنوب سيناء ،وقد رغب المستأجر في استئجار هذه الوحدة السكنية بغرض استعمالها سكن خاص ولا يجوز له تغيير النشاط إلا بعد موافقة صريحة كتابية من المؤجر ووافق المؤجر على التأجير وفق الأحكام والشروط التالية. البند الأول يعتبر التمهيد السابق جزء لا يتجزأ من هذا العقد ومكملاً ومفسرا لجميع ما جاء به من بنود. البند الثاني أجر الطرف الأول المؤجر للطرف الثاني المستأجر القابل لذلك الوحدة السكنية الموضحة المعالم بالبند التمهيدي ،وذلك لمدة تبدأ من / / 200 وتنتهي في / / 20 غير قابلة للتجديد إلا بعقد جديد واتفاق جديد وإذا رغب المستأجر في إنهاء العقد قبل انتهاء مدته فيتحمل بكامل القيمة الايجارية عن مدة العقد كاملة . البند الثالث اتفق الطرفان على أن تكون القيمة الايجارية الوحدة السكنية موضوع هذا العقد هي مبلغ جنيه (فقط جنيه) شهرياً تزاد بواقع % سنوياً في بداية السنة السنة الثانية وقد اتفق الطرفان على أن يقوم المستأجر بسداد الإيجار في أول كل شهر مقابل إيصال يفيد السداد هذا بخلاف مصروفات الصيانة المعمول بها في العقار فيتحملها وهي عبارة عن أعمال صيانة السباكة وأعمال الكهرباء وأعمال النظافة العامه هذا وقد قام الطرف الثاني المستأجر بدفع ما يعادل أجرة شهرين تأمين مبلغ وقدره _____جنيه(فقط ____________جنيهاً) كما قام الطرف الثاني سداد القيمة الإيجارية عن شهر 200 مبلغ وقدره .........جنيه (فقط.....................جنيهاً) على أن يرد مبلغ التأمين للمستأجر في نهاية العقد بعد تسليم العين موضوع الإيجار للطرف الأول بالحالة التي استلمها عليها عن بداية الإيجار وبعد توقيع المؤجر على هذا العقد إقراراً منه باستلامه مبلغ التأمين والقيمة الايجارية عن شهر 2009. البند الرابع في حالة تأخير المستأجر عن سداد القيمة الايجارية في موعدها المحدد يكون ملزماً بسداد غرامة تأخير بواقع 2% من القيمة الايجارية المستحقة عن الشهر المتأخر عن سداده ويعتبر اليوم الأول للشهر الملتزم المستأجر السداد فيه هو موعد التسديد الذي يبدأ في اليوم التالي منه احتساب غرامة التأخير فإن زادت مدة التأخير على شهرين يعتبر العقد مفسوخاً من تلقاء ذاته دون حاجه إلى إنذار أو تنبيه ويحق للمؤجر في هذه الحالة الرجوع على المستأجر بأية تعويضات عن إخلاله بالتزاماته التعاقدية. البند الخامس يعد العقد مفسوخاً من تلقاء ذاته دون حاجه إلى أعذار أو اتخاذ قضائية في أي من الحالات الآتية:- - عدم قيام المستأجر بسداد الأجرة المتفق عليها في خلال العشرة أيام الأولى من كل شهر. - التنازل عن الإيجار أو التأجير من الباطن بدون موافقة المؤجر. - إشهار إفلاس المستأجر أو إعلان إعساره، وفي هذه الحالة لا تدخل العين المؤجرة في أموال التفليسة أو في الضمان العام للدائنين. ويتم فسخ العقد في حالة تقاعس الطرف الثاني عن الوفاء بأية التزامات منصوص عليها في هذا العقد دون أن يتخذ إجراءات جدية لإزالة هذا الإخلال خلال خمسة عشر يوماً من تاريخ إخطاره بإزالتها دون أن ينال ذلك من أحقية الطرف الأول في المطالبة بالتعويضات أن كان لها محل. ويقع الفسخ بموجب خطاب موصى عليه بعلم الوصول يوجه إلى الطرف الثاني متضمناً الفسخ واعتبار هذا العقد مفسوخاً من تلقاء ذاته دون الحاجة إلى تنبيه أو إنذار أو إصدار حكم من القضاء بذلك. عند انقضاء هذا التعاقد وفقاً لما تقدم أو تقاعس الطرف الثاني عن سداد القيمة الايجارية المستحقة فيتعين عليه أن يقوم بإخلاء ويحق للطرف الأول اتخاذ كافة الإجراءات القانونية الكفيلة بتحقيق ذلك. البند السادس يقر الطرف الثاني المستأجر أنه قد عاين العين المؤجرة المعاينة التامة النافية للجهالة ،وقبل استئجارها بالحالة التي هي عليها ،ويقر أن الوحدة السكنية صالحة للغرض الذي أستؤجرت من أجله ويتعهد بأن يستخدمها فيما حدد لها. البند السابع يلتزم المستأجر بسداد أية ضرائب أو رسوم أو قيمة أية مخالفات أو غرامات أو تعويضات أو مصروفات تتصل بالوحدة موضوع هذا العقد أو تنتج عن استخدامه لها من تاريخ التوقيع على هذا العقد ولا يتحمل المؤجر بأي منها. البند الثامن لا يجوز للمستأجر التنازل عن هذا العقد أو تأجيره الوحدة السكنية موضوع هذا العقد من الباطن كلياً أو جزئياً بأي حال من الأحوال دون موافقة كتابية صريحة من المؤجر وفي حالة قيامه بذلك دون حصوله على موافقة المؤجر الكتابية يعتبر هذا العقد مفسوخاً من تلقاء ذاته دون حاجة إلى إنذار أو تنبيه أو إجراء قضائي. البند التاسع لا يحق للطرف الثاني المستأجر إجراء أية تعديلات في الوحدة السكنية إلا بموافقة كتابية من المؤجر بذلك وإذا خالف ذلك يعتبر هذا العقد مفسوخاً من تلقاء ذاته له عمل الديكورات وأجهزة التكييف اللازمة شريطة ألا يحل ذلك بسلامة العقار الذي يحوي الوحدة السكنية موضوع الإيجار ويلتزم المستأجر بإجرائها بما يتفق والأصول الفنية على أن يتحمل المستأجر كافة المصروفات والنفقات والمسئوليات الناتجة عن ذلك. البند العاشر إذا خالف المستأجر شروط هذا العقد يعتبر هذا العقد مفسوخاً من تلقاء ذاته دون حاجه إلى تنبيه أو إنذار ويتحمل المستأجر بسداد كامل الإيجار المستحق عن المدة المتبقية. البند الحادي عشر في حالة أي نزاع لا قدر الله قد ينشأ بخصوص تنفيذ هذا العقد يكون الفصل فيه من اختصاص محكمة جنوب سناء للأمور المستعجلة ويتنازل الطرفان من الآن عن كافة درجات التقاضي على أن يكون الحكم الصادر من محكمة الأمور المستعجلة نهائياً وباتاً. البند الثاني عشر يعتبر العنوان المبين قرين اسم كل طرفي العقد موطناً مختاراً له في كافة المراسلات المتعلقة بهذا العقد. البند الثالث عشر تحرر هذا العقد من نسختين بيد كل طرف نسخة للعمل بموجبها عن اللزوم. الطرف الأول (مؤجر) الطرف الثاني (مستأجر) APPARTMENT RENTAL AGREEMENT PURSUANT TO THE PROVISIONS OF LAW NO. 4 OF THE YEAR 1996 This Agreement is made and entered into this _____ corresponding to / / 200__of the year By and Between: First: Mr. ______________nationality __________herein represented by Mr. Tarik in his capacity as the attorney of the Lessor who has the power of proxy, Residing at_____________________ (First Party - Lessor) Second: Mr.________________________ nationality_______ passport No_____ Residing at ___________________ (Second Party - Lessee) Preamble The First Party (the Lessor) owns the dwelling unit No. ………. located in Neama Bay, Sharm El-Shaikh city of the governorate of South Sinai and the Lessee desires to lease said dwelling unit for use as private dwelling. The Lessee may not change the activity of said unit except by an explicit written consent of the Lessor. The Lessor has hereby agreed to lease the unit pursuant to the following provisions Clause 1 The aforesaid preamble shall be deemed an integral part of this contract and supplementary and construction to all clauses herein set forth. Clause 2 The First Party, the Lessor has hereby let to the Second Party and the Second Party has hereby leased from the Lessor the dwelling unit which features are indicated in the preamble during the term of ……………commencing on ../../200.. and ending on ../../200.. not renewable except by a new agreement and convenient. If the Lessor desires to terminate the contract before expiration thereof the Lessor shall bear the whole rental value for the full term of the Agreement herein set forth. Clause 3 Both parties hereto have hereby agreed that the rental value of the dwelling unit subject to this Agreement shall be of the sum of L.E…………… (only ………..Egyptian Pounds) to be paid monthly and shall increase by.,..% per annum at the beginning of the second year. Both parties hereto have hereby agreed that the Lessee shall pay the rent at the beginning of every and each month against a payment receipt besides the expenses of maintenance done in the premises which shall be paid for by the Lessee including plumbing maintenance, electricity and general sanitation works. The Second Party, the Lessee has paid the sum of L.E ……………………….(only …………….Egyptian Pounds) equivalent to two-month rent as security deposit and the Second Party has also paid the sum of L.E………….(only ………………Egyptian Pounds) as rental value of the month of …….., 200.. The security deposit shall be returned to the Lessee upon the expiration of the Agreement after surrendering the premises subject to this Agreement to the First Party in the same condition as was received by the Lessee at the beginning of the Rental Agreement. The Lessor's signature herein shall be deemed acknowledgment of receipt of the security deposit and the rental value of the month of …….., 2009. Clause 4 In the event of any default by the Lessee to pay the rent in due date, the Lessee shall be obliged to pay a delay penalty amounting to 2% of the value of the rent due for the month of late payment. The first day of each month in which the Lessee is obliged to pay the rent shall be deemed the date of payment and from the following day begins the calculation of the delay penalty. If the duration of delay increased more than two months, this Agreement shall be rescindable without need to notice or warning and the Lessor is entitled to claim compensation for the Lessee's breach of contractual obligations thereof. Clause 5 The Rental Agreement shall be rescindable without excuses or taking judicial process in any of the following cases: • If the Lessee fails to pay the agreed rent within the first ten days of each month • Assignment of rent or subletting without the consent of the Lessor • The declaration of bankruptcy or insolvency of the Lessee, in this case the leased premises shall not be included in the bankrupt's estate or in the general guarantee of creditors The Rental Agreement shall be rescinded in the event of failure of the Second Party to fulfill any of the obligations herein set forth without taking serious actions to remove such breach within fifteen days of being notified to remove such breach without prejudice to the right of the First Party to claim compensation if any. The rescission shall happen by a certified mail, return receipt requested sent to the Second Party containing the rescission and that the Agreement is deemed as rescinded without need to notice or warning or a court ruling. Upon the expiration of this Agreement according to the aforementioned or the failure of the Second Party to pay the due rent, the Second Party shall quit the leased unit subject to this Agreement within fifteen days of being notified to quit said unit and the First Party shall be entitled to take all legal measures to ensure that. Clause 6 Second Party must declare that Second Party has undertaken proper inspection of the leased premises and has accepted to lease as is and acknowledges that the dwelling unit fits for the purpose for which it was leased and undertakes to use the unit as what is designated for. Clause 7 the Lessee shall herby undertake to pay any taxes, fees, breaches, compensations or expenses connected to or resulting from the use of the dwelling unit subject to this Agreement from the date of signing this Agreement and the Lessor shall not bear none of them. Clause 8 The Lessee shall not totally or partially assign or sublet whatsoever the dwelling unit subject to this Agreement without the explicit written consent of the Lessor and in the event of doing same without obtaining explicit written consent of the Lessor, this Agreement shall be deemed rescindable without need to notice or warning or legal proceedings. Clause 9 The Second Party shall not make any adjustments in the dwelling unit except by a written consent of the Lessor to do so and if the Second Party violates same this Agreement shall be rescindable. The Second Party shall be entitled to make decorations and to put air conditioning devices provided that same do not affect the integrity of the premises which includes the dwelling unit subject to this Agreement and Second Party shall hereby undertake to make same in conformity with technical principles provided that the Lessee shall bear all costs and expenses and liabilities arising therefrom. Clause 10 If the Lessee breaches any of the provisions herein set forth, this Agreement shall be rescindable without need to notice or warning and the Lessee shall pay the whole due rent for the remainder term. Clause 11 Any dispute arising upon the implementation of this Agreement shall fall within the jurisdiction of South Sinai Court for Urgent Cases. Parties hereto shall hereby waive all levels of litigation provided that the judgment pronounced by the Court for Urgent Cases shall be definitive and final. Clause 12 The address indicated next to the name of each party shall be deemed the address for service thereof in all correspondences connected to this Agreement. Clause 13 Executed in duplicate, one copy per each party for necessary action First Party (Lessor) Second Party (Lessee)
